Gayety Terms of Service

Welcome to Gayety, provided by Rainbow Media Co., a California company (“Gayety,” “we,” “us,” or “our”). By subscribing to Gayety, you (“Subscriber,” “you,” or “your”) agree to these Terms of Service (“Terms”), the Gayety Refund and Cancellation Policy, and Substack’s Terms of Use and Privacy Policy, all of which are incorporated herein by reference.


1. Eligibility

You must be at least eighteen (18) years of age or the age of majority in your jurisdiction to subscribe.

You agree to provide accurate, current, and complete information when creating and maintaining your subscription.


2. Changes to Terms

Rainbow Media Co. reserves the right to modify these Terms at any time.

Updated Terms will be posted on the Gayety Substack page. Continued use of the subscription after changes are posted constitutes acceptance of the revised Terms.


3. Consent to Communications

By subscribing, you consent to receive electronic communications related to your subscription, including transactional notices and promotional messages.

You may opt out of promotional communications at any time. Transactional communications related to your subscription may still be sent.


4. Subscription and Billing

All subscriptions are processed and billed through Substack’s payment processor.

Subscriptions automatically renew unless canceled by the Subscriber prior to the renewal date.

Subscription pricing may change. Notice of pricing changes will be provided in advance as required by law.


5. Refunds, Cancellations, and Pauses

All refund, cancellation, and pause terms are governed by the Gayety Refund and Cancellation Policy, which is hereby incorporated into these Terms by reference.

All sales are final. Gayety does not provide refunds, credits, or prorated reimbursements for any reason.

Subscribers are solely responsible for managing their subscriptions through Substack, including cancellation or pausing prior to renewal.

Initiating a chargeback or payment dispute in violation of the Refund and Cancellation Policy constitutes a material breach of these Terms.


6. License and Restrictions

Rainbow Media Co. grants you a limited, non-exclusive, non-transferable, revocable license to access Gayety content for personal, non-commercial use only.

You may not reproduce, distribute, modify, display, perform, publish, license, create derivative works from, or sell any Gayety content without prior written permission.


7. Intellectual Property

All Gayety content, including text, images, videos, graphics, and branding, is protected by copyright and other intellectual property laws and is owned by Rainbow Media Co. or its licensors.

Unauthorized use of Gayety content is strictly prohibited.


8. Acceptable Use

You agree not to use Gayety in any manner that violates applicable laws, infringes intellectual property rights, or interferes with the operation of the service.

Violations may result in immediate termination of your subscription without refund.


9. Mature Content Disclaimer

Gayety contains mature content intended solely for individuals aged eighteen (18) and older.

You are responsible for ensuring that access to such content is lawful in your jurisdiction and appropriate for you.


10. Third-Party Links and Content

Gayety may include links to third-party websites or content.

Rainbow Media Co. is not responsible for the content, policies, or practices of third-party sites.


11. Indemnification

You agree to indemnify and hold harmless Rainbow Media Co., its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your violation of these Terms.


12. Disclaimer of Warranties

Gayety is provided on an “as is” and “as available” basis.

Rainbow Media Co. makes no warranties, express or implied, regarding the service, including warranties of merchantability, fitness for a particular purpose, or non-infringement.


13. Limitation of Liability

To the fullest extent permitted by law, Rainbow Media Co. shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your subscription or use of Gayety.


14. Governing Law and Arbitration

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Any dispute arising under these Terms shall be resolved by binding arbitration in Los Angeles County, California. Class actions are expressly waived.


15. Termination and Suspension

Rainbow Media Co. reserves the right to suspend or terminate your access to Gayety for violations of these Terms or applicable law.

You may terminate your subscription at any time through your Substack account settings. Termination does not entitle you to a refund.


16. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms, together with the Refund and Cancellation Policy, constitute the entire agreement between you and Rainbow Media Co. regarding your subscription.
